These Terms and Conditions (“Terms”) form a binding legal agreement between you and Udathveer Singh Pasricha, a sole trader based in Melbourne, Victoria, Australia, ABN 23 612 369 411, trading as Gri9d (“Gri9d”, “we”, “us”, or “our”).
Gri9d operates the website www.gri9d.it.com and associated products. By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
Please read these Terms carefully. They include important provisions about how the Service works, what you can and cannot do, limitations on our liability, and the law that governs this agreement.

1. Definitions
For the purposes of these Terms:
- “Account” means the user account you create on Gri9d, which provides access to both The Forge and Campus Connect.
- “Australian Consumer Law” or “ACL” means Schedule 2 to the Competition and Consumer Act 2010 (Cth).
- “Campus Connect” means Gri9d’s peer-to-peer student services marketplace, described further in section 5.
- “Content” means any material you upload, submit, generate, transmit or store using the Service, including resumes, cover letters, profile details, messages, avatar images, service listings, and communications with other users.
- “Gri9d Content” means all materials, software, text, graphics, designs, logos, trademarks, and AI-generated outputs produced by the Service itself (as distinct from User Content).
- “Service” means the Gri9d website, The Forge, Campus Connect, and all related features, tools, content and functionality made available by Gri9d.
- “The Forge” means Gri9d’s AI-assisted job application tool, described further in section 4.
- “Third-Party Services” means services provided by third parties that the Service integrates with, including but not limited to Stripe, Supabase, OpenAI, Resend, and Gmail / Google Workspace.
- “User”, “you” and “your” mean the individual using the Service under an Account.
- “User Content” means Content submitted or generated by you, including any Content derived from AI processing of your inputs (for example, cover letters drafted from your resume).
2. Acceptance and Agreement
2.1 Acceptance. By clicking “Sign Up”, creating an Account, logging in, or otherwise using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.
2.2 Minimum age. You must be at least 16 years old to use the Service. The Service involves signing and sending job applications and entering into peer-to-peer transactions, and we have set 16 as our minimum age to reflect the responsibilities involved. If you are under 16, you may not create an Account or use the Service.
2.3 Authority. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, and “you” refers both to you personally and to the organisation.
2.4 Capacity. You represent that you have the legal capacity to enter into these Terms and that nothing prevents you from doing so under the law of the jurisdiction in which you reside.
3. Account Registration
3.1 Accurate information. When you register an Account, you must provide accurate, current and complete information, including a valid email address. You must keep your information up to date.
3.2 Credentials. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. Authentication is managed through Supabase Auth using either email and password, or one-time password (OTP) magic links sent via Resend.
3.3 No account sharing. Accounts are personal. You may not share, sell, rent, or transfer your Account to anyone else. You must not use another user’s Account without permission.
3.4 Notify us. If you suspect unauthorised access to your Account, you must notify us immediately at legal@gri9d.it.com so we can help secure it.
3.5 One Account per person. We may restrict each individual to a single Account. We may refuse registration or close duplicate Accounts at our discretion.
4. The Forge — Specific Terms
The Forge is an AI-assisted tool that helps you generate tailored job applications (cover letters and resumes) and send them from your own email address.
4.1 Your content, your ownership. You retain all ownership of the resume and other materials you upload. You grant Gri9d a limited, non-exclusive, worldwide, royalty-free licence to host, store, transmit, process, parse, adapt and display your Content solely for the purpose of operating The Forge and providing outputs to you. This licence terminates when you delete the relevant Content or your Account, except to the extent we are required to retain copies for legal or backup purposes.
4.2 Authorisation to send email on your behalf. The Forge sends job application emails from your own email address using SMTP or OAuth-authorised access that you explicitly provide. By connecting your Gmail account (or another email account) and instructing The Forge to send an application, you:
- (a) represent and warrant that you are the authorised owner or controller of that email address;
- (b) expressly authorise Gri9d to send emails from that address on your behalf in accordance with your instructions;
- (c) acknowledge that the emails will appear to recipients as if sent directly by you, and that you are the legal sender for all purposes including the Spam Act 2003 (Cth); and
- (d) agree that you are solely responsible for complying with the terms of service of your email provider (for example, Google’s Terms of Service for Gmail).
You may revoke this authorisation at any time by disconnecting your email account in your Gri9d settings.
4.3 No guarantee of outcomes. Gri9d does not guarantee, warrant or represent that any application sent through The Forge will result in an interview, employment, offer, response, or any other outcome. Job markets are competitive and hiring decisions depend on many factors outside our control.
4.4 Truthfulness of Content. You are solely responsible for the accuracy and truthfulness of every application sent through The Forge. You must not use The Forge to submit fabricated qualifications, false experience, forged credentials, or any misleading information. Fabricated or fraudulent applications are grounds for immediate suspension or termination of your Account, and we may cooperate with employers, regulators or law-enforcement authorities where appropriate.
4.5 AI output may contain errors. The Forge uses OpenAI’s large language models (currently gpt-4o-mini) to draft applications. AI output can contain inaccuracies, hallucinations, awkward phrasing, or factual errors. You must review every application before sending. You are ultimately responsible for the content of anything sent from your email address, whether or not it was AI-generated.
4.6 Quotas and rate limits. Each plan tier has limits on applications, level skips, and other features. We publish current limits at checkout and in-product. We may rate-limit, queue, or temporarily suspend activity that we reasonably believe constitutes abuse, spam, or a threat to the reliability of the Service or our email-sending infrastructure.
4.7 XP, levels, and “Clean Emails”. Your XP and level progression are an in-product engagement mechanic and have no cash value. The “Clean Emails” plan removes the Gri9d watermark from sent applications; other than the removal of that watermark, Clean Emails does not change the substance of the application.
5. Campus Connect — Specific Terms
Campus Connect is a peer-to-peer marketplace where students can list, discover and book services from other students (for example, tutoring, rides, moving help, headshots).
5.1 Gri9d is a venue, not a party. Gri9d is an intermediary and venue only. We are not a party to any transaction, booking, agreement or dispute between users of Campus Connect. We do not provide the underlying services, and we are not responsible for the quality, safety, legality, accuracy or any other aspect of those services.
5.2 Students are independent. Users who offer services on Campus Connect are independent providers. They are not employees, agents, partners, contractors, or representatives of Gri9d. Nothing in these Terms creates any employment, agency, partnership or joint-venture relationship between Gri9d and any user.
5.3 No verification beyond basic checks. We may perform limited onboarding checks (such as verifying that an email or phone number is valid) but we do not verify the identity, qualifications, background, skills, insurance, criminal history, licences, or safety of any user. You interact and transact with other users at your own risk. We strongly encourage you to use common-sense precautions — meet in public places where appropriate, verify qualifications independently, and use the in-platform messaging and payment flows.
5.4 Disputes between users. If a dispute arises between you and another Campus Connect user, you are responsible for resolving it. We may, at our discretion and without any obligation to do so, provide information, mediate, or suspend Accounts involved in a dispute. We are not obligated to resolve disputes or issue refunds for services rendered or not rendered between users.
5.5 Payments and service fee. Bookings on Campus Connect are processed through Stripe (or a substitute payment processor we nominate). Gri9d charges a service fee on each transaction, which is disclosed at checkout before you confirm payment. Payouts to service providers are subject to Stripe’s terms and timelines.
5.6 Prohibited services. You must not list, offer, solicit or provide any service through Campus Connect that:
- (a) is illegal under Australian law or the law of the location where the service is performed;
- (b) involves academic dishonesty, including ghost-writing essays, sitting exams, or completing assessable work for another student;
- (c) is sexual, pornographic, or exploitative in nature;
- (d) involves firearms, weapons, regulated substances, or controlled goods;
- (e) involves harassment, stalking, or any activity that endangers another person;
- (f) requires professional licensing you do not hold (for example, medical, legal, or financial advice provided by unlicensed persons);
- (g) infringes any third party’s intellectual property or other rights; or
- (h) we otherwise notify you is prohibited.
We may remove listings and suspend Accounts for breach of this section without prior notice.
6. Payments, Refunds and Subscriptions
6.1 Payment processor. All payments are processed by Stripe. By making a purchase, you also agree to Stripe’s terms and conditions. We do not store full card details on our servers.
6.2 One-time purchases. One-time purchases — including the $1.50 AUD “level skip” — are delivered and consumed immediately. Once consumed, they are non-refundable except where a refund is required by law (including under the Australian Consumer Law).
6.3 Subscriptions. Subscription plans (including Starter, Pro, Unlimited, and the standalone Clean Emails plan) are billed in advance on a recurring basis (monthly or annually as selected). Your subscription will automatically renew at the end of each billing period unless you cancel before renewal.
6.4 Cancellation. You may cancel your subscription at any time through your Account settings or Stripe’s customer portal. Cancellation takes effect at the end of the current billing period, and you will continue to have access to paid features until that date. We do not provide pro-rata refunds for partial billing periods, except where required by law.
6.5 Price changes. We may change subscription prices. If we do, we will give you at least 30 days’ notice by email or in-product notification before the change takes effect for you. If you do not wish to continue at the new price, you may cancel before the change takes effect.
6.6 Taxes. Prices are displayed in Australian Dollars (AUD) and are inclusive of GST where applicable, unless otherwise indicated.
6.7 Consumer guarantees preserved. Nothing in this section excludes, restricts or modifies any guarantee, right or remedy conferred by the Australian Consumer Law or any other applicable law that cannot lawfully be excluded. Where a consumer guarantee under the ACL applies and cannot be excluded, you may be entitled to a refund, replacement or other remedy as provided by that law.
6.8 Failed payments. If a payment fails, we may suspend access to paid features until payment is successful. If a payment remains unpaid for an extended period, we may cancel your subscription.
7. Acceptable Use and Prohibited Conduct
You must not, and must not attempt to, do any of the following:
- (a) use the Service in any way that violates any applicable law or regulation, including the Spam Act 2003 (Cth), the Privacy Act 1988 (Cth), anti-discrimination laws, and foreign equivalents (such as the US CAN-SPAM Act) where relevant;
- (b) submit fabricated, fraudulent, or materially misleading job applications through The Forge;
- (c) engage in academic dishonesty or facilitate it through Campus Connect;
- (d) harass, threaten, defame, impersonate, or discriminate against any person;
- (e) scrape, crawl, harvest, or systematically extract data from the Service other than through features we expressly provide;
- (f) use bots, scripts, or automated tools to access the Service beyond the automation we ourselves provide through the Service’s features;
- (g) reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent such restriction is prohibited by law;
- (h) interfere with or disrupt the Service, its servers, or our Third-Party Services;
- (i) upload malware, viruses, or any code intended to damage or disrupt systems;
- (j) use the Service to send unsolicited bulk email (spam) — noting that job applications must be targeted, relevant, and honest;
- (k) infringe the intellectual property, privacy, or other rights of any third party;
- (l) upload Content that is defamatory, obscene, hateful, or unlawful;
- (m) circumvent quota limits, rate limits, or paywalls; or
- (n) use the Service to facilitate any prohibited service listed in section 5.6.
We reserve the right to investigate suspected breaches and take appropriate action, including suspension, termination, and, where warranted, reporting to authorities.
8. User Content Licence
8.1 You own your Content. You retain all ownership rights in your User Content.
8.2 Licence to Gri9d. You grant Gri9d a non-exclusive, worldwide, royalty-free, sublicensable (to our Third-Party Service providers solely as needed to operate the Service) licence to host, store, copy, reproduce, adapt, modify, transmit, process, analyse, and display your User Content for the purposes of:
- (a) providing and operating the Service to you;
- (b) generating AI outputs you request (such as cover letters and tailored resumes);
- (c) sending emails and transactional communications you authorise; and
- (d) improving the reliability, security, and performance of the Service (but not to train third-party AI models on identifiable Content — see our Privacy Policy for details).
8.3 Licence termination. This licence terminates when you delete the relevant Content or your Account, except that we may retain copies (i) in backups for a reasonable period until they are rotated out, and (ii) where required by law or for legitimate business records.
8.4 Your warranties about your Content. You represent and warrant that:
- (a) you own your Content or have all necessary rights to submit it;
- (b) your Content does not infringe any third party’s rights;
- (c) the factual statements in your Content (including your resume) are true and not misleading; and
- (d) you are the authorised owner of any email address you connect for use with The Forge.
9. Intellectual Property
9.1 Gri9d owns the platform. Gri9d, including its source code, design, user interface, branding, logos, trademarks, documentation, and all Gri9d Content, is owned by Udathveer Singh Pasricha or its licensors and is protected by Australian and international intellectual property laws.
9.2 Limited licence to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial purposes (other than your own job seeking, which is an intended use, and your use of Campus Connect as an independent service provider).
9.3 Feedback. If you provide feedback, ideas, or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without obligation to you.
10. Third-Party Services
The Service integrates with the following Third-Party Services, and your use of those features may be subject to their respective terms:
- Stripe — payment processing
- Supabase — authentication and data storage (hosted on AWS)
- OpenAI — AI model inference (
gpt-4o-mini) for resume parsing, cover-letter generation, and matchmaking - Resend — transactional email delivery (including OTP magic links)
- Gmail / Google Workspace — where you authorise The Forge to send email from your Gmail address
Gri9d is not responsible for the availability, reliability, accuracy, or practices of Third-Party Services. If a Third-Party Service becomes unavailable or changes its terms in a way that affects the Service, we may modify or suspend the affected feature.
11. Privacy
Our collection, use and disclosure of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you also agree to the Privacy Policy. If there is a conflict between these Terms and the Privacy Policy in relation to personal information, the Privacy Policy prevails.
12. Disclaimers
12.1 Consumer guarantees preserved. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted or modified. If you are a “consumer” within the meaning of the ACL, you have rights under the ACL that apply despite anything in these Terms.
12.2 “As is” to the maximum extent permitted. Subject to section 12.1, and to the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory or otherwise. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment, to the extent they can lawfully be excluded.
12.3 No outcome guarantee. We do not warrant that:
- (a) use of The Forge will result in any job interview, offer, or employment;
- (b) AI-generated outputs will be accurate, error-free, or suitable for any particular purpose;
- (c) any user on Campus Connect is qualified, honest, safe, or will perform any service to any particular standard;
- (d) the Service will be uninterrupted, error-free, or secure; or
- (e) defects will be corrected within any particular timeframe.
12.4 Your responsibility. You are responsible for reviewing AI-generated content before sending, for the truthfulness of your applications, and for your conduct with other users on Campus Connect.
13. Limitation of Liability
13.1 Consumer Law rights preserved. Nothing in this section limits any right or remedy you have under the Australian Consumer Law or other law that cannot lawfully be excluded or limited.
13.2 Liability cap. Subject to section 13.1, and to the maximum extent permitted by law, Gri9d’s total aggregate liability to you arising out of or in connection with these Terms or the Service, whether in contract, tort (including negligence), statute, equity, or otherwise, is limited to the greater of:
- (a) the total fees you paid to Gri9d in the 12 months immediately preceding the event giving rise to the liability; or
- (b) AUD $100.
13.3 Excluded loss. Subject to section 13.1, and to the maximum extent permitted by law, Gri9d is not liable for any:
- (a) indirect, incidental, special, consequential, or punitive loss or damage;
- (b) loss of profits, revenue, business opportunity, goodwill, reputation, data, or anticipated savings;
- (c) loss arising from failure to obtain employment, interviews, clients, or any commercial outcome;
- (d) loss arising from the acts or omissions of other users, including users on Campus Connect; or
- (e) loss arising from the acts, omissions, or outages of Third-Party Services.
13.4 Where ACL applies. If a consumer guarantee under the ACL applies to the Service and cannot be excluded, but can be limited, our liability for breach is limited (at our option) to: (i) re-supplying the Service, or (ii) paying the cost of having the Service re-supplied.
14. Indemnity
To the maximum extent permitted by law, you agree to indemnify and hold harmless Gri9d (and Udathveer Singh Pasricha personally) from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- (a) your breach of these Terms;
- (b) your User Content, including any claim that it infringes a third party’s rights or contains false or misleading information;
- (c) your use or misuse of the Service, including any emails sent through The Forge from your email address;
- (d) your interactions and transactions with other users, including on Campus Connect; and
- (e) your violation of any applicable law, including the Spam Act 2003 (Cth), consumer protection laws, or anti-discrimination laws.
This indemnity does not apply to the extent that the loss is caused by Gri9d’s own negligence, wilful misconduct, or breach of these Terms.
15. Suspension and Termination
15.1 By you. You may terminate your Account at any time by using the delete-account feature in your settings or by emailing legal@gri9d.it.com. Termination does not entitle you to a refund of any prepaid fees, except where required by law.
15.2 By us. We may suspend or terminate your Account, with or without notice, if:
- (a) you breach these Terms;
- (b) we reasonably suspect fraud, misuse, or abuse of the Service;
- (c) we are required to do so by law or by a Third-Party Service we rely on;
- (d) your conduct creates a risk of legal liability or reputational harm to Gri9d or other users; or
- (e) your Account has been inactive for an extended period.
15.3 Effect of termination. On termination:
- (a) your right to access the Service ends immediately;
- (b) outstanding fees become due;
- (c) the licences you granted in section 8 terminate (subject to the carve-outs in that section); and
- (d) data handling on termination is governed by our Privacy Policy, including retention periods and deletion procedures.
15.4 Survival. Sections that by their nature should survive termination will survive, including sections 8.4 (warranties), 9 (IP), 12 (disclaimers), 13 (liability), 14 (indemnity), 17 (governing law), 18 (disputes), and 19 (general).
16. Changes to These Terms
16.1 Updates. We may update these Terms from time to time. When we make a material change, we will:
- (a) update the “Last updated” date at the top of this document; and
- (b) notify you by email (to the address on your Account) or through an in-product notice at least 14 days before the change takes effect, unless the change is required by law or is necessary to address a security or operational issue, in which case we may apply the change sooner.
16.2 Continued use. Your continued use of the Service after the change takes effect constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service and may terminate your Account.
17. Governing Law and Jurisdiction
17.1 Governing law. These Terms are governed by the laws of the State of Victoria, Australia, and the Commonwealth laws of Australia that apply in Victoria, without regard to conflict-of-laws principles.
17.2 Jurisdiction. You and Gri9d submit to the exclusive jurisdiction of the courts of Victoria, Australia and the courts of appeal from them, in respect of any proceeding arising from or in connection with these Terms or the Service.
17.3 Consumer carve-out. If you are a consumer accessing the Service from outside Victoria, nothing in this section deprives you of any mandatory consumer protection available to you under the law of your place of habitual residence that cannot be excluded by agreement.
18. Dispute Resolution
18.1 Notice. If a dispute arises between you and Gri9d in connection with these Terms or the Service, the party raising the dispute must first send a written notice to the other party describing the dispute and the desired resolution. You can send notices to us at legal@gri9d.it.com.
18.2 Good-faith negotiation. The parties must negotiate in good faith for at least 30 days after the notice is given before commencing any legal proceedings, except where urgent injunctive or equitable relief is required, or where a shorter period is necessary to preserve a legal right (for example, to stop a limitation period from expiring).
18.3 Consumer rights unaffected. Nothing in this section prevents you from bringing a complaint to the Australian Competition and Consumer Commission, Consumer Affairs Victoria, or any other regulatory body, or from exercising any right you have under the Australian Consumer Law.
19. General
19.1 Entire agreement. These Terms, together with the Privacy Policy and any additional terms we reference or display at the point of a specific feature (for example, at checkout), constitute the entire agreement between you and Gri9d in relation to the Service, and supersede any prior agreements on the same subject matter.
19.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be modified, and the remaining provisions will continue in full force.
19.3 No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. A waiver is only effective if given in writing by us.
19.4 Assignment. You may not assign, transfer, or sublicense these Terms or your Account without our prior written consent. We may assign or transfer these Terms (in whole or in part) to an affiliate, successor, or acquirer of our business, without your consent, provided that the assignee agrees to be bound by these Terms.
19.5 Relationship. Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Gri9d.
19.6 Force majeure. We are not liable for any failure or delay in performing our obligations under these Terms to the extent caused by events beyond our reasonable control, including natural disasters, war, labour disputes, outages of Third-Party Services, government action, or internet failures.
19.7 Notices. We may give you notice by email, by in-product notification, or by posting on the Service. You may give us notice by email to legal@gri9d.it.com.
19.8 Language. These Terms are written in English. Any translation is provided for convenience only; the English version prevails in the event of any inconsistency.
